These Terms and Conditions govern your access to and use of this website (https://us.nemistech.com), provided by NEMIS Technologies Inc. (“Seller”, “we”, or “us”). By using the site, placing orders, or entering into agreements with us, you agree to be bound by these terms.

This document, together with any order confirmation or quotation issued by us, constitutes the entire agreement between you (“Buyer”) and NEMIS Technologies Inc. No terms in your purchase orders, documents, or other communications will override these Terms unless expressly agreed in writing by a duly authorized officer of NEMIS Technologies Inc.

1. Orders and Acceptance

All orders are subject to approval and acceptance in writing by NEMIS Technologies Inc. or its headquorter company, NEMIS Technologies AG.

2. Prices

Product prices are those quoted in our purchase order confirmation. All advertised prices (e.g. on website) are estimates and may change without notice. Prices are valid for thirty (30) days unless stated otherwise.

Prices exclude taxes, shipping, insurance, custom duties, packaging, and similar fees unless otherwise specified.

3. Payment Terms

Invoices are due [Net 30] from invoice date, in USD, and payable at our office in South San Francisco, CA. Any unpaid amounts may incur interest at 2.5% per month, or the maximum legal rate.

4. Shipment, Delivery, Title & Risk

  • Shipment: We will make reasonable efforts to ship as requested, but we reserve the right to select alternative methods if delays are expected.
  • Delivery: All delivery times are estimates. Time is not of the essence.
  • Title & Risk: Title passes upon handover to the carrier. Risk transfers at that moment.
  • Importer Responsibility: Buyer is responsible for obtaining any necessary import/export licenses or permits.

5. Shipping & Handling

  • Domestic shipping charges are based on order value, volume, destination, and product handling needs.
  • Additional handling fees may apply for items requiring special packaging, dry/wet ice, hazardous handling, weight, or expedited delivery.

6. Returns, Cancellations & Claims

  • Cancellation: Orders may not be canceled or returned unless authorized in writing and accompanied by a Return Authorization number.
  • Non‑returnable Goods: Consumables and temperature-sensitive items are non-returnable and non-refundable.
  • Claims: Inspect shipments upon receipt and notify us in writing within 21 hours for visible damage or nonconformity. Hidden or latent defects detected later must be reported within 10 days.

For valid claims, we will, at our option, repair, replace, or refund the purchase price.

7. Security and Credit

We may require payment in advance or other forms of security if available creditworthiness is unsatisfactory.

8. Warranty & Liability

  • Limited Warranty: We warrant that products conform to our specifications and are free from defects at the time of sale.
  • No Other Warranty: All other warranties, express or implied (including merchantability or fitness for purpose), are disclaimed.
  • Limitation of Remedies: Our liability for defective products is limited to repair, replacement, or refund. We are not liable for incidental, consequential, or special damages.

9. Software & Instruments

Buyer agrees not to modify software or instruments (e.g. N-Light™ products, NEMIS Data app) or distribute licenses. Source code remains proprietary.

10. Taxes

Buyer is responsible for any taxes, duties, or charges related to the sale or shipment of goods.

11. General Provisions

  • Governing Law: These Terms are governed by California law (or as specified in order).
  • Severability: If any provision is invalid under applicable law, it will be severed without affecting other provisions.
  • Entire Agreement: These Terms, with any order confirmation, constitute the entire agreement.

12. Additional Terms

You may also be subject to additional terms such as our Privacy Policy, Cookie Policy, and Accessibility Statement.
